a. Accept the conciliation agreement with R. Carter Pate, as recommended in the Memorandum from the Acting Associate General Counsel for Enforcement dated October 11, 2016.

General Counsel’s Report dated February 10, 2016 with modifications to the
out-the-door offer to reflect the changes as discussed at the Table.
